The Corporate Secretary position was established in accordance with OJK Regulation No. 35/ POJK.04/2014, dated 8 December 2014 on Corporate Secretary of Public Companies, and the Decree of the Board of Directors of the Indonesia Stock Exchange No. Kep-00001/BEI/01-2014 dated 20 January 2014 on the Amendment to the Regulation No. I-A on Listing of Shares and Other Equity-Based Securities Other Than Shares Issued by Listed Companies.
The Corporate Secretary facilitates communication between the organs of the Company, oversees the relationship between the Company and its stakeholders, and monitors the Company’s compliance with laws and regulations. The Corporate Secretary is directly responsible and reports to the President Director.
Furthermore, the Corporate Secretary stays abreast of developments in the capital market, especially as regards prevailing regulations; providing information required by the Board of Directors and the Board of Commissioners to faithfully comply with the regulations of the capital market; assisting the Board of Directors and the Board of Commissioners in executing Good Corporate Governance practices, which include information disclosure to the public, among others, via the corporate website, submission of reports to the Financial Services Authority (OJK) in a timely manner, execution and documentation of the GMS, and other things. In addition, the Corporate Secretary also acts as a liaison between the public company and the shareholders of the company, the OJK, and other relevant stakeholders.
